Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you and Pink Sunset ("we", "us"), the operator of Dowel (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

2. The Service

Dowel is a job-management platform for trades and construction businesses. It includes customer records, jobs, quotes, invoices, payments, scheduling, file storage, messaging, and a client portal. We may add, change, or remove features over time.

3. Accounts and eligibility

You must be at least 18 years old and able to enter into a contract to use the Service. You are responsible for your account, for keeping your login credentials secure, and for all activity that happens under your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to misuse the Service. You will not use it to break the law, infringe others' rights, send spam, upload malware, attempt to gain unauthorized access, interfere with its operation, or reverse engineer it except where permitted by law. You are responsible for the content you and your team upload and for obtaining any consents needed to store information about your own customers.

5. Subscriptions, trials, and billing

Paid plans are billed in advance on a recurring basis through our payment processor. Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends. Fees are non-refundable except where required by law. We may change pricing on reasonable notice, effective at your next billing period. Failure to pay may result in suspension or termination of access.

6. Your data

You own the data you put into the Service, including your customer, job, quote, invoice, and file records ("Customer Data"). You grant us a limited licence to host, process, and display Customer Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy.

7. Intellectual property

The Service, including its software, design, and branding, is owned by us and our licensors and is protected by intellectual property laws. These Terms do not transfer any ownership in the Service to you. Dowel and our logos are our marks and may not be used without permission.

8. Third-party services

The Service relies on third-party providers for authentication, hosting, payments, file storage, and email delivery. Your use of the Service may be subject to those providers' terms. We are not responsible for third-party services we do not control.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms or if we are required to by law. On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period, after which we may delete it.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of laws rules. The courts located in Ontario will have exclusive jurisdiction over any dispute, subject to any non-waivable rights you have under local consumer law.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Continued use after the changes take effect means you accept the updated Terms.
